Registering your company with the Companies Commission of Malaysia (SSM) is step one, not step ten. A new Sdn Bhd also needs a Tax Identification Number (TIN) with the Inland Revenue Board (LHDN), a corporate bank account, general business licenses from your local council, and, once you hire staff, registration with the Employees Provident Fund (EPF), the Social Security Organisation (SOCSO), and the Employment Insurance System (EIS). Miss any of these and you are not just disorganised, you are non-compliant, and Malaysian law attaches real fines to that.

🔔 TL;DR

  • SSM company registration is only the starting point. At least 9 other registrations or setups follow, depending on whether you hire staff.
  • LHDN employer registration must happen before your first salary payment. EPF registration is due within 7 days of hiring, SOCSO within 30 days.
  • Late registration penalties are steep: up to RM10,000 for EPF or SOCSO, up to RM20,000 for LHDN, and possible imprisonment.
  • e-Invoicing through LHDN’s MyInvois portal and Beneficial Owner (BO) reporting are newer obligations many first-time bosses do not know about yet.
  • A company secretary in Kuala Lumpur or anywhere online can help you track these deadlines so nothing falls through.

ABOUT BOSS BOLEH

Boss Boleh is a licensed company secretary and digital incorporation platform that has helped set up and maintain thousands of Malaysian Sdn Bhd companies fully online, with over 1,500 Google reviews at a 4.88 average rating. This checklist draws on the compliance calendar we walk every first-time business owner through, from incorporation to payroll.

📌 Why Does SSM Registration Feel Like the Finish Line When It Is Actually the Start?

SSM registration gives you a company registration number in Malaysia and legal existence. Getting your Sdn Bhd registered in a few days is a significant step forward. But a company registration number does not let you pay staff legally, issue a compliant tax invoice, or open a business bank account by itself. Think of SSM registration as getting your car’s vehicle registration plate. You still need insurance, road tax, and a licence to actually drive it. The 10 items below are your equivalent of insurance and road tax.

📌 What Are the 10 Government Registrations Beyond SSM?

Here is the checklist, roughly in the order a new Sdn Bhd typically needs them.

1LHDN Tax Identification Number (TIN)Every Sdn BhdAuto-assigned via MyCoID at incorporation
2Form CP204 (estimated tax payable)Every Sdn BhdWithin 3 months of starting operations

📌 What Does LHDN Registration Actually Involve?

LHDN registration is not one form, it is a sequence. Your company gets a Tax Identification Number automatically when it is incorporated through the MyCoID portal, so you do not need to apply separately for that part. But two more steps follow, and both are easy to overlook.

  • Form CP204: This is your estimate of tax payable for the year. You must submit it within 3 months of starting business operations, not from your incorporation date.
  • Employer E number: If you plan to pay anyone a salary, including yourself as a director, you must register as an employer with LHDN and get an E number before that first paycheque goes out.

🔔 QUICK TAKE AWAY

Incorporate the company, get your TIN automatically, then file CP204 within 3 months and get your E number before paying anyone. Two deadlines, two different clocks.

📌 When Do You Need to Register with EPF, SOCSO, and EIS?

Building on the LHDN obligations above, hiring your first employee triggers a second set of clocks entirely, this time with the social security bodies. Here is how the components work.

  • EPF (Employees Provident Fund): Register as an employer within 7 days of hiring your first staff member. For Malaysian employees under 60, employers contribute 12 to 13 percent of monthly wages.
  • SOCSO (Social Security Organisation): Register within 30 days of the first hire. Employer contributions run at approximately 1.75 percent, capped at a RM6,000 wage ceiling.
  • EIS (Employment Insurance System): Registered together with SOCSO, this covers retrenchment protection.
  • Foreign workers: As of October 2025, employers must also make a mandatory 2 percent EPF contribution for foreign employees, a new rule many first-time bosses have not caught up with yet.

Miss these windows and the consequences are not gentle. Late EPF or SOCSO registration can mean backdated contributions, interest charges, and fines up to RM10,000. Late LHDN employer registration can attract fines up to RM20,000, or imprisonment. This is exactly the kind of deadline stacking that trips up a first-time boss juggling product, sales, and paperwork alone.

📌 Do You Need a Business License Beyond SSM Registration?

Yes, and this is the registration most new founders forget entirely because SSM registration feels like “the license.” A general business license in Malaysia is issued by your local city or district council (Majlis Perbandaran or Dewan Bandaraya), separate from SSM and separate from LHDN. You typically need it before you open your doors, and requirements depend on your premise type and business activity.

On top of that, certain industries need a specific operating license before they can legally trade:

  • Food and beverage outlets need health and hygiene approvals from the local council.
  • Clinics and medical practices need approvals tied to the Ministry of Health.
  • Financial services, education centres, and manufacturing facilities each have their own regulator.

If your business does not fit neatly into “office plus laptop,” check with your local council before you sign a lease. Retrofitting a license after you have already started operating is a much harder conversation.

📌 What About e-Invoicing and Beneficial Owner Reporting?

A related but distinct question from licensing is what LHDN and SSM now expect from you on an ongoing basis, not just at setup. Two relatively recent obligations catch first-time bosses off guard.

  • e-Invoicing: LHDN now requires companies to issue compliant digital invoices through the MyInvois portal. Every Sdn Bhd will eventually need a way to comply with this system. Boss Boleh offers e-Invoicing software as part of its compliance suite, so you are not building this from scratch.
  • Beneficial Owner (BO) reporting: Under the Companies (Amendment) Act 2024, companies must report their Beneficial Owners, the individuals who ultimately own or control the company, to SSM through the Electronic Beneficial Ownership System (e-BOS). This is separate from your Annual Return.

Neither of these existed in the same form a few years ago, which is exactly why “check with SSM once” is not a sustainable compliance strategy. Rules change, and a company secretary’s job is partly to keep tracking that so you do not have to.

📌 Sole Proprietor Versus Sdn Bhd: Does the Checklist Change?

If you are still operating as a sole proprietor, some of this list looks different.

ObligationSole ProprietorSdn Bhd
Tax filingPersonal income tax, Form BCorporate tax, Form C
CP204 estimateNot usually requiredRequired within 3 months of starting operations
EPF/SOCSO as employerSame rules once you hire staffSame rules once you hire staff
Audit exemptionNot applicableYou appoint an auditor if your company exceeds statutory thresholds for revenue, total assets, or number of employees. If you remain below those thresholds, you can file Unaudited Financial Statements.
Beneficial Owner reportingNot applicableRequired under Companies (Amendment) Act 2024

This is one reason founders scaling past a certain profit level convert from sole proprietorship to Sdn Bhd. The compliance load increases, but so does the credibility with banks, financiers, and clients.

📌 Frequently Asked Questions

Do I need a company secretary for these registrations, or can I do them myself?

You can attempt most of these yourself. A licensed company secretary in Malaysia, however, is legally required for the SSM side of things, and many owners use one to also track LHDN, EPF, and SOCSO deadlines so nothing lapses quietly.

What is the penalty for registering with SOCSO late?

Late SOCSO registration can lead to backdated contributions, interest on unpaid amounts, and fines up to RM10,000.

Do I need LHDN registration if my company has no employees yet?

Yes. Your company gets a TIN automatically at incorporation, and you must still submit Form CP204 within 3 months of starting operations, even before hiring anyone.

Is a business license the same as SSM registration?

No. SSM registration establishes your company legally. A business license is issued separately by your local council and depends on your business activity and premise.

When does audit exemption in Malaysia apply?

Sdn Bhd companies that remain below statutory thresholds for revenue, total assets, or number of employees can file Unaudited Financial Statements through the Malaysian Business Reporting System (MBRS). Once you exceed those thresholds, you must appoint an auditor and file audited financial statements accordingly.

Do foreign workers need EPF registration too?

Yes. As of October 2025, employers must make a mandatory 2 percent EPF contribution for foreign employees, in addition to existing SOCSO obligations.

How long does Sdn Bhd registration take before I can start on this checklist?

Boss Boleh can set up a Sdn Bhd in 2 days, the fastest turnaround promised by any provider in Malaysia, so you can move on to LHDN, EPF, and SOCSO registration quickly instead of waiting weeks.
